By visiting, registering, or making a purchase on the Site, you are deemed to have accepted, without modification, all the terms and conditions set forth herein. If you do not agree with any part of these terms, you must not use the Site or any of our services.

Services Offered

Our services include digital marketing solutions, CRM tools, and related training and consulting services. The specifics of the services purchased are outlined on the sales page and in subsequent communications.

Payment and Pricing

Payment Terms: All payments must be made upfront through the payment methods provided on the Site.

Pricing: Prices for our services are listed on the Site and may be subject to change without notice. Taxes, if applicable, are calculated at checkout.

Subscription Plans

Recurring billing applies to monthly and yearly subscription plans. Subscriptions can be canceled anytime by contacting support at [email protected]. Cancellation requests must be made at least 5 days before the next billing cycle to avoid charges.

Deliverables

Services, including onboarding, setup, and training, will be delivered as per the timeline outlined in your package. You are responsible for providing accurate information and timely cooperation to ensure service delivery.

Intellectual Property

All content, software, and materials provided as part of the service remain the property of Elite Suite unless explicitly stated otherwise. You are granted a limited, non-transferable license to use these materials for personal or business use.

Limitation of Liability

Elite Suite is not liable for any indirect, incidental, or consequential damages arising from the use of our services or this Site. Our maximum liability is limited to the total amount paid by you for the services.

User Conduct

By using the Site, you agree not to:

Use the Site for unlawful purposes.

Attempt to gain unauthorized access to our systems or data.

Share login credentials or account access with unauthorized parties.

Privacy

Modifications to Terms

We reserve the right to update or modify these terms at any time. Changes will be posted on this page, and continued use of the Site constitutes acceptance of the updated terms.

Governing Law

These terms are governed by and construed in accordance with the laws of Pennsylvania, without regard to conflict of law principles.


No Agency Access Policy:

Elite Suite does not provide agency-level access. Clients receive unlimited sub-accounts with independent control at the sub-account level. Clients can access and use agency-like features such as creating sub-accounts, uploading snapshots, and using marketplace apps. However, all management and oversight of these features are handled by Elite Suite. Clients are not permitted to manage or control agency-level structures. Any attempt to establish unauthorized agency hierarchies is strictly prohibited and may result in immediate termination of services without refund.

Branding Limitations: Clients do not have access to customize platform branding beyond what is available at the sub-account level. Custom-branded login links, dashboard color changes, and other agency-level customizations are not permitted. The platform's core design, branding, and visual elements are managed by Elite Suite and cannot be modified by clients.

White Label Clarification

Elite Suite offers limited white labeling within the following boundaries:

Sub-Account Branding: Clients can customize their sub-account logos and certain internal communication elements. Non-Customizable Elements:

Clients cannot modify platform-level features such as branded login links, dashboard color schemes, or URL domains.Marketplace and Snapshots: Clients can utilize marketplace apps and upload snapshots within their sub-accounts, but these actions are managed under Elite Suite's agency infrastructure. Visual Customization Limits: Clients cannot modify platform visuals beyond the pre-set options available within their accounts.

Partial White Labeling: Clients acknowledge that the white labeling provided is partial and limited to sub-account level customization. Full platform rebranding, custom domains, and agency-level visual modifications are not available. Any representations or assumptions beyond this scope are not supported.


Voiceflow Account Policy:
Clients are eligible for unlimited Voiceflow accounts. However, due to the complexity of setup, Voiceflow accounts are not automatically provisioned for every sub-account. Clients may request additional Voiceflow accounts as needed, and Elite Suite will facilitate their setup upon request.

Refunds will not be granted for misunderstandings related to agency-level access, white labeling, branding limitations, or Voiceflow account provisioning. By purchasing our services, you acknowledge and agree to the structure and limitations outlined in these terms.

Unlimited Minutes Policy

"Unlimited minutes" refers to the availability of unlimited minutes for usage within the scope of the service plan. It does not imply unlimited free minutes. Standard usage fees, rates, or charges may still apply based on the selected plan, carrier costs, or applicable agreements. Users are responsible for any costs incurred through their usage of the service. Abuse of this policy, including excessive or unauthorized use, may result in service limitations or additional charges.


Unlimited Accounts Usage Policy

Elite Suite offers services with an Unlimited Accounts feature, subject to the following terms:

Fair Usage Policy: The Unlimited Accounts feature is designed to provide flexible access to our services for legitimate business purposes. Excessive use beyond reasonable business activity may result in additional charges or service limitations. We reserve the right to define what constitutes excessive use.

Account Setup and Management: Elite Suite will assist in setting up accounts as outlined in your package. However, account creation or management must comply with the terms of service for all integrated platforms (e.g., email, CRM, ad platforms). Misuse of accounts for spam, illegal activities, or actions that violate platform guidelines is strictly prohibited.

Payment Methods: Each sub-account must have a valid payment method on file at all times. If a payment method is removed, updated, or a payment fails due to insufficient funds, the account may be temporarily paused until the issue is resolved and the payment is verified. To cover phone fees, a minimum balance of $25 must be maintained for each sub-account. If the balance falls below this threshold, services may be temporarily suspended. To prevent interruptions, accounts will automatically be billed $10 whenever the balance drops below $25. Additionally, a $25 initial charge will be applied upon the creation of a new sub-account to ensure seamless service.

Data Ownership and Responsibility: While Elite Suite provides the tools to manage unlimited accounts, the content, data, and activities within those accounts are the responsibility of the client. You agree to comply with applicable data protection laws and best practices.

Service Limits: "Unlimited" refers to the number of accounts you can integrate and manage but does not cover excessive use of server resources, email sending limits, or actions that may disrupt the service's integrity. Email sending through these accounts will remain subject to provider limits (e.g., SMTP or third-party email service quotas).

Termination of Unlimited Access: Violation of this usage policy or engaging in prohibited activities may result in suspension or termination of the Unlimited Accounts feature. No refunds will be issued for accounts terminated due to misuse.

Support Policy: Support is provided only for the main account associated with the subscription. Sub-accounts are excluded from direct support and must be managed through the main account holder.

Subaccount Transfer Policy

Authorized Transfers Only

Subaccounts under Elite Suite may only be transferred to a newly created agency account that has not previously held agency-level permissions, managed subaccounts, or been affiliated with any existing agency structure on third-party platforms, including but not limited to Growthgrid.

Prohibited Transfers and Circumvention

Clients are strictly prohibited from independently initiating or manipulating subaccount transfers. All transfers must be conducted exclusively through Elite Suite Authority’s internal systems and executed by authorized personnel using the official “Eject” function.

Any attempt to circumvent this process—including, but not limited to, canceling the designated destination agency account post-transfer and reinstating or reattaching the subaccount to a prior or existing agency account—is a direct violation of this agreement.

Enforcement, Billing Authorization, and Collections

In the event of a policy violation, the client expressly authorizes Elite Suite to charge the payment method on file a non-refundable $997 migration and compliance fee, without prior notice.

If the charge is declined, reversed, or disputed, Elite Suite reserves the right to initiate collections proceedings. The client agrees to be held liable for the original fee plus all associated costs of recovery, including but not limited to late fees, third-party collection agency fees, court costs, and reasonable attorney’s fees.

Account Suspension or Termination

In addition to the compliance fee and potential collections proceedings,Elite Suite reserves the right to suspend or terminate the client's account and any associated services in response to policy violations. Such actions may be taken at the sole discretion of Elite Suite and without prior notice.

Purpose of Enforcement Measures

This policy is enforced to protect the integrity of our licensing structure, prevent unauthorized access or misuse of our platform, and ensure consistent compliance across all users and accounts.

AI & Customer Support Disclaimer

"For customer convenience, we may provide responses through AI chatbots, live chat, or customer support representatives. While we strive to ensure accuracy, these responses are not legally binding and do not override or replace the official Terms & Conditions outlined on this page. By proceeding with any purchase, you acknowledge that only the Terms & Conditions stated here govern your agreement with Elite Suite."

Refund & Chargeback Policy

All payments made to Elite Suite are non-refundable. By purchasing any service, subscription, or digital product from our Site, you acknowledge and agree to the following terms:

We proudly offer a 30-Day Satisfaction Guarantee. If you're not satisfied within the first 30 days, we will make every reasonable effort to address and resolve any concerns. However, this guarantee does not include refunds. You may cancel your subscription at any time, and access will remain active through the end of your current billing cycle.

Refunds will not be issued under any circumstances, including but not limited to:

Changing your mind

Deciding not to use the service

Business or financial changes

Failure to utilize purchased services

Misunderstandings regarding agency access, white labeling, branding limitations, or service expectations

Additionally, onboarding, setup, and implementation services require an active subscription. If you cancel your account before onboarding or setup is completed, those services are considered forfeited.

No refunds, credits, or substitutions will be granted for unused onboarding due to voluntary cancellation.

Initiating a chargeback or payment dispute constitutes a direct violation of this policy. If you file a chargeback:

Your access to all services will be immediately revoked

Your account and all associated sub-accounts will be terminated

You will be permanently banned from using our platform

We reserve the right to pursue legal action to recover disputed funds, including applicable legal fees, collection costs, and damages. We submit detailed records, including proof of service delivery, communication logs, and signed agreements, to contest all disputes. We also report chargeback fraud to collections agencies and credit bureaus, which may negatively affect your credit profile.

Results are not guaranteed. We provide tools, guidance, and resources, but your success depends on your own implementation, industry, and market variables. No refunds will be provided based on perceived lack of results.

DIY Platform and Setup Assistance

Elite Suite operates as a Do-It-Yourself (DIY) platform. This means that while we provide the tools and resources necessary for you to set up and manage your digital marketing solutions, we do not offer direct assistance with setup unless you opt for a paid setup package. These packages are available for purchase and are designed to provide you with professional assistance to ensure your platform is configured to meet your specific needs.

Pricing and Service Modifications

All prices and features, including those related to unlimited accounts, are subject to change at any time without prior notice. We strive to provide the most current information on our Site, but it is your responsibility to review the pricing and service terms regularly. Continued use of the services after any changes constitutes acceptance of those changes.

Compliance with Third-Party Platform Policies

Our services may integrate with various third-party platforms (e.g., email services, CRM systems, advertising platforms). If any of these platforms modify their rules, policies, or terms of service, we may be required to adjust our services accordingly to remain compliant. Such changes may affect how you can use our services, and we will endeavor to inform you of any significant modifications that impact your use of the platform.

User Responsibilities

As a user of Elite Suite, you agree to:

Self-Management: Utilize the DIY resources provided to set up and manage your accounts unless you have purchased a setup package.

Stay Informed: Regularly review our Terms and Conditions, as well as the policies of any third-party platforms you use in conjunction with our services.

Compliance: Ensure that your use of our services and any integrated third-party platforms adheres to all applicable laws, regulations, and terms of service.


Comparison Clause

Growthgrid, LinkBot, Voiceflow, and Launchpro Ads are not direct comparisons but rather the closest related services within the industry. Any references to these platforms are made strictly for contextual purposes and do not indicate a direct equivalence.

Amendments to Terms

We reserve the right to update or modify these Terms and Conditions at any time. Any changes will be reflected on this page, with the updated effective date posted at the top. It is your responsibility to review these Terms regularly. Continued use of the Site and our services after any updates constitutes your acceptance of the revised Terms and Conditions

Entire Agreement

These Terms and Conditions, along with any other legal notices and agreements published by Elite Suite, constitute the entire agreement between you and Elite Suite concerning the use of the Site and services. They supersede all prior agreements, whether written or oral, regarding your access to and use of the Site and services.

Right to Refuse Service

Elite Suite reserves the right to refuse service to any individual or business at our sole discretion. If we determine that a client, project, or request is not a suitable fit for our services, we may decline the engagement and issue a refund, if applicable. This decision may be based on, but is not limited to, factors such as misalignment with our expertise, conflicts of interest, abusive behavior, or failure to comply with our policies.

Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed modified to the extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms and Conditions. The remaining provisions shall continue in full force and effect.

Waiver

The failure of Elite Suite to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms and Conditions will be effective only if in writing and signed by an authorized representative of Elite Suite.

Assignment

You may not assign or transfer your rights or obligations under these Terms and Conditions without the prior written consent of Elite Suite. We may assign our rights and obligations under these Terms and Conditions at any time without notice to you.

Headings

The section headings in these Terms and Conditions are for convenience only and have no legal or contractual effect.

Dispute Resolution & Governing Law

In the event of any dispute, claim, or controversy arising out of or relating to your use of the services, the parties agree to first attempt to resolve the matter through informal negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration in Luzerne County, Pennsylvania, under the rules of the American Arbitration Association (AAA).

Each party shall bear its own legal fees, costs, and expenses unless otherwise determined by the arbitrator. This agreement to arbitrate does not apply to any legal action taken by Elite Suite to collect outstanding balances or protect intellectual property.

This clause does not restrict Elite Suite’s right to seek injunctive relief or pursue claims in small claims court.

For the purposes of these Terms & Conditions, the following definitions apply:

"Site" refers to elitesuite.ai and all associated subdomains."Sub-Account" refers to any client account created under the Elite Suite platform with access to services or tools."Agency Access" refers to full administrative permissions typical of agency-level Growthgrid users, which are not included in your plan."DIY" or "Do-It-Yourself" refers to the platform structure where clients self-manage their tools unless they purchase setup assistance."White Labeling" refers to the ability to brand and resell services under your own name, limited by the scope detailed in these terms."Unlimited" refers only to access within the constraints of our Fair Usage Policy.

Third-Party Platform Disclaimer

EliteSuite may integrate or work alongside third-party platforms such as Growthgrid, Voiceflow, Launchpro, LinkBot, and others. While we aim to ensure the proper functioning of these integrations, we are not responsible for the actions, outages, policy changes, pricing, or service limitations of any third-party provider.

By using our services, you acknowledge that such third-party tools and platforms may impose their own terms and conditions, and it is your responsibility to stay informed of their requirements. Service interruptions or changes originating from third-party platforms do not qualify as grounds for refunds or disputes.
